MOTHERCARE PLC: CHANGE IN SHAREHOLDING


Mothercare plc announces that it has been advised by Aegon Asset Management UK
that the Aegon UK plc Group of Companies has an increase in their notifiable
interest in the share capital of Mothercare plc.


The interest comprises 6,269,421 shares or 8.6% (previously 5,284,713 or 7.3% on
an issued share capital of 72,655,876) of Mothercare's issued share capital.


The notifiable interest of Aegon Asset Management UK is held by Citibank
Nominees Limited.


Mothercare plc's issued share capital is currently 72,710,930 ordinary shares.
