Directors' Shareholdings : Mr Ben Gordon

Mr Ben Gordon was awarded 75,000 Mothercare plc ordinary 50p shares on 2
December under his equity incentive scheme. No payment is required from Mr
Gordon in respect of this award. Mr Gordon has sold 37,500 of the shares awarded
on 2 December at a price of 355.6217p per share in order to meet the income tax
and national insurance liability arising from the vesting of that award.

Mr Gordon now holds 269,362 Mothercare plc ordinary shares being 0.374% of the
Company's issued share capital.
