MOTHERCARE PLC DIRECTOR PDMR SHAREHOLDINGS
Mothercare  plc announces the  vesting of the  2007 three-year Performance Share
Plan (PSP). The scheme was approved by the shareholders in July 2006. Details of
the  scheme is set out in the  Mothercare plc Annual Report and Accounts, 2010.
Mothercare  plc  also  reports  the  sale  of  beneficial  shares set out in the
schedule  below.
Performance Share Plan
The  performance criteria  have been  met in  respect of   93.6% of the nil cost
options  originally  granted  in  June  2007 under  the  Performance Share Plan.
 Therefore,  the following directors and PDMR's  have now received the following
Mothercare plc ordinary shares.
