Director PDMR Shareholdings

Mothercare plc announces that the final tranche of the deferred
bonus, awarded in May 2006, was released to the following
participants on 19 June 2008. The bonus deferred in respect of each
individual was converted into shares and held by the Employee Share
Trustee at the time of deferral at a price of £3.43 per share.

On 19 June, Ben Gordon, Gillian Berkmen and Tony Carr sold their
released shares (column three in the table above) at a price of £3.85
per share. Column 4 of the table above shows the total interest of
each individual in the shares of Mothercare plc following the vesting
and, where appropriate sale, of shares from the 2006 deferred bonus
scheme

The Mothercare Employee Trust subsequently re-acquired the shares
disposed of by the above participants at a price of £3.85p per share.
The shares acquired by the Mothercare Employee Trust will be used in
fulfilling future incentive share scheme awards made by Mothercare
plc. The Trust holds 3,607,317 shares following this transaction
equivalent to 4.13% of the issued share capital and voting rights.
