In conformity with the Transparency Directive's transition provision 6, the
Company notifies the market of the following:

Morgan Sindall plc's capital consists of 42,520,090 ordinary 5p shares with
voting rights. There are no shares held in Treasury.

Therefore, the total number of voting rights in Morgan Sindall plc is
42,520,090.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Morgan Sindall plc under the
FSA's Disclosure and Transparency Rules.
