Voting Rights and Capital


In conformity with transitional provision 6 of the Transparency Directive, the
Company advises that the issued share capital of Morgan Sindall plc has
increased by 29,467 shares since 30 March 2007.  Consequently at 31 May 2007,
the issued share capital of Morgan Sindall plc consists of 42,583,054 ordinary
shares of 5p each with voting rights.  Morgan Sindall plc currently holds no
Treasury shares.

Therefore, the total number of voting rights in Morgan Sindall plc is
42,583,054.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Morgan Sindall plc under the
FSA's Disclosure and Transparency Rules.
