Legis  Trust  Limited, Trustee of The Morgan Sindall Employee  Benefits  Trust
(the  beneficiaries of which are the employees and directors of Morgan Sindall
Group) established in connection with the Long Term Incentive Plan approved by
shareholders  on  16 April 1997, has on 31 July 2000 acquired 14,000  ordinary
shares of 5p each in Morgan Sindall plc at £2.65 per share.
