Divisional Restructuring

Morgan Sindall PLC 12 November 2001 Morgan Sindall plc ('Morgan Sindall' or 'the Company') Strategic restructure of regional construction division Morgan Sindall, the construction brands group, announces that its regional construction division, comprising six geographic brands purchased over the last seven years, are to be merged into one new company, to be branded Bluestone plc. This is the next phase in the development of its regional construction division that last year had a turnover of £317 million and operating profits of £3.1 million. Bluestone plc will commence trading 1 January 2002 and will, in common with Morgan Sindall's other operating divisions, be a national business with localised management and profit centres. The business, headed by Chris Saxton, will be in a position to respond more effectively to client demand enabling partnership relationships to operate countrywide. The new operational structure will enable the division to better punch its weight and drive performance. This strategic move will have no exceptional restructuring costs. Whilst there may be geographical redeployment in overall terms, the changes will enable the division to continue its exciting growth with greater consistency of performance.
