                              MORGAN SINDALL PLC

Legis  Trust  Limited, trustee of the Morgan Sindall Employee  Benefits  Trust
(the  beneficiaries of which are employees and directors of the Morgan Sindall
Group) established in connection with the Long Term Incentive Plan approved by
shareholders on 16 April 1997, has on 7 December 1999 acquired 35,000 ordinary
shares  of  5p  each in Morgan Sindall plc at £2.75 per ordinary  share.   The
shares  acquired  represent 0.094 per cent. of the  issued  share  capital  of
Morgan Sindall plc.
