Morgan Sindall plc 1995 Executive Share Option Scheme ('1995 Scheme')

The Company announces that on 27 September 2006, Stephen Elliott, a person
discharging managerial responsibility ('PDMR'), exercised options over ordinary
shares of 5p each in the Company ('shares') granted to him on 27 September 2001
and on 28 September 2006 he sold in the market the shares issued to him on
exercise. The numbers of options exercised, new shares issued to him and
subsequently sold are set out below.
