The Morgan Crucible Company plc (the 'Company') received notice on 10th
January 2001 that, for the purposes of Part VI of the Companies Act 1985, as
amended by the Disclosure of Interests in Shares (Amendment) Regulations 1993,
Prudential plc and all of its subsidiary companies no longer have a notifiable
interest in the Company's Ordinary Shares of 25 pence each.
