THE MORGAN LONG TERM INCENTIVE PLAN

Notification of Directors' Interests pursuant to Section 324(2) of the
Companies Act 1985.

Dr Bruce Farmer, Ian Norris, Graham Swetman, Nigel Howard ('the Directors')

The Company became aware on 25th February 2000 that each of the Directors
technically became interested on 6th July 1999 and 6th January 2000 in 58,858
and 48,024 Ordinary shares respectively in the Company by virtue of the Morgan
Employee Trust (Guernsey) Limited, the Trustees of the Morgan General Employee
Benefit Trust, acquiring such shares pursuant to the Company's Dividend
Reinvestment Plan.
