Appointments of Chairman and Non-Executive Director

 

The Board of Morgan Crucible announces that Tim Stevenson, having served as Chairman of the Board since 1st December 2006, will retire from the Board on 31st July 2012.

 

Andrew Shilston is appointed to the Board as a non-executive director and Chairman Designate with effect from the conclusion of the Company's 2012 Annual General Meeting to be held at 12 noon today. It is the Board's intention that Andrew will be appointed as Chairman of the Board with effect from 1st August 2012, when Tim Stevenson retires. Andrew is currently a non-executive director of BP p.l.c. and was Chief Financial Officer of Rolls Royce Holdings plc from 2002 to 2011. A fuller biography is set out below.

 

Victoire de Margerie is also appointed to the Board as a non-executive director with effect from the conclusion of the Company's 2012 Annual General Meeting today. She is currently a non-executive director of the French quoted companies, Ciments Francais and Groupe Flo as well as the Chairman and Managing Director of Rondol Technology Ltd. A fuller biography is set out below.

 

The appointments follow a comprehensive search process led by the Senior Independent non-executive director, Martin Flower.  Following Tim Stevenson's retirement in July, the Board will comprise five non-executive directors and three executive directors.

There are no further matters to be disclosed pursuant to Listing Rule 9.6.13.

Andrew Shilston

Andrew Shilston was the Chief Financial Officer of Rolls Royce Holdings plc from 2002 to 2011. Prior to that he was Financial Director at Enterprise Oil plc from 1993 to 2002. He was a non-executive director at Cairn Energy plc from 2004 to 2008, and is currently a non-executive director of BP p.l.c. and Circle Holdings plc.

Victoire de Margerie

Victoire de Margerie is a non-executive director of the French quoted companies, Ciments Francais and Groupe Flo as well as the Chairman and Managing Director of Rondol Technology Ltd, an innovative capital goods business based in Stoke on Trent. Victoire also sits on the Advisory Boards of Life Sciences Health and Materalia, both being Technology Cluster organisations based in the Netherlands and France respectively. She has previously held non-executive roles at Outukumpu (2007 to 2011) and Ipsos (2004 to 2008) and was a Professor in Strategic Management at Grenoble School of Business until 1st January 2012. During her executive career she held senior management positions with Arkema, Carnaud MetalBox (now Crown Cork & Seal) and Pechiney (now Rio Tinto).
