Circular to Shareholders

Elderstreet VCT  plc  has today  issued  a circular  to  shareholders
including a Notice of a General  Meeting of the Company and  Separate
Class Meetings which will take place on 29 October 2008.

The purpose of the  Meetings is to  propose a merger  of the C  Share
Fund and the Ordinary Share Fund by converting C Shares into Ordinary
Shares.  A  special  resolution  is  also  proposed  to  approve  the
adoption by the Company  of new Articles  of Association, which  ahve
been amended to  incorporate changes brought  about by the  Companies
Act 2006.

Copies of the circular and the new Articles of Association have  been
submitted to the  Financial Services Authority,  and will shortly  be
available for  inspection  at  the UK  Listing  Authority's  Document
