               NATIONAL EXPRESS GROUP PLC ('National Express')                


Further to the announcement earlier today that the offer for Prism Rail PLC by
National Express has been declared unconditional in all respects, the
following changes have been made to the board of directors of Prism Rail PLC:

David Newton, Godfrey Burley, Tony Coleman, Robert Howells and John Seed have
resigned as directors with immediate effect and have been replaced by the
following National Express appointees Philip White, William Rollason, Raymond
O'Toole, Richard Brown, Simon Matthews and Tony McDonald.
