Important update in relation to the Company's Annual General Meeting ("AGM")

Following the publication of the annual report for the year ended 30 April 2020, the directors of Miton UK Microcap Trust plc have been considering how to deal with the impact of the Covid-19 outbreak on the arrangements for the upcoming AGM to be held on 22 September 2020.

The Board continues to prioritise the safeguarding of public health and is keenly aware of the UK Government's prevailing Covid-19 guidance. It has, as a result and in accordance with the Company's articles of association, been decided that shareholders will unfortunately not be permitted to attend the AGM in person. It should be noted that, in the light of these current circumstances, it is not anticipated that the Directors or representatives of Premier Miton will be present in person either, other than persons capable of forming the minimum quorum under the Company's articles of association. However,  s hareholders may and are strongly encouraged to participate in the AGM business as outlined below.

Voting

If shareholders have not done so already, they are strongly encouraged to register their votes in advance of the AGM by submitting proxy forms to the Company's registrar, Link Asset Services, by 11.00 a.m. on 18 September 2020, appointing the Chair of the Meeting as their proxy.  Shareholders requiring additional proxy forms should contact Link Asset Services on 0371 664 0300.

CREST members who wish to appoint a proxy or proxies through the CREST electronic proxy appointment service may do so by using the procedures described in the CREST Manual and by logging on to the following website: www.euroclear.com/CREST.

Shareholder Questions

Shareholders should note that only the formal, routine business of the AGM,  as set out in the Notice contained in the Annual Report and Financial Statements for the year ended 30 April 2020, will be conducted on 22 September 2020 . However, w e always welcome questions from shareholders and would therefore ask that this year these be submitted to the Company before the AGM by email to  [e-mail]  by Friday 18 September. A short presentation will be posted on the website to coincide with the start of the meeting and a ny questions submitted will be answered separately.
