                 Notification of substantial shareholding

On 28 April 2005 MITIE received notification that Prudential plc has a
notifiable interest in 31,338,887 Ordinary Shares of 2.5p each in MITIE which
represents 10.34% of the issued share capital of MITIE. This total holding is
held by certain subsidiaries of Prudential plc which have notifiable interests
as follows: M&G Group Limited holding 31,338,887 (10.34%); M&G Investment
Management Limited holding 31,281,749 (10.32%); M&G Limited holding 31,338,887
(10.34%); and The Prudential Assurance Company Limited holding 18,343,078
(6.05%).

MITIE has been informed that the shares held by the Prudential group of
companies to which this notification relates are registered as follows:
