                   Notification of substantial shareholding


On 8 February 2006, MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 43,624,206 Ordinary Shares of 2.5p each in MITIE,
which represents 14.15% of the issued share capital of MITIE. This is an
increase of 829,994 shares in their holding since their last notification. The
notifiable interests also comprise the notifiable interest of Mr Edward C
Johnson 3rd, a principal shareholder of FMR Corp. and Fidelity International
Limited.

MITIE has been informed that the shares to which this notification relates are
