                     Notification of substantial shareholding


On 14 October 2003 MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 37,128,814 Ordinary Shares of 2.5p each in MITIE,
which represents 12.0% of the issued share capital of MITIE.  The notifiable
interests also comprise the notifiable interest of Mr Edward C Johnson 3rd, a
principal shareholder of FMR Corp. and Fidelity International Limited.


MITIE has been informed that the shares to which this notification relates are
