On 27 June 2003 MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 24,529,883 Ordinary Shares of 2.5p each in MITIE,
which represents 8.12% of the issued share capital of MITIE.  The notifiable
interests also comprise the notifiable interest of Mr Edward C Johnson 3rd, a
principal shareholder of FMR Corp. and Fidelity International Limited.

holding, 10,019,638 MITIE Shares (3.31%) are held by Prudential plc's subsidiary
The Prudential Assurance Company Limited.
