                   Notification of substantial shareholding



On 31 January 2003 MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 11,162,045 ordinary shares of 2.5p each in MITIE,
which represents 3.7% of the issued share capital of MITIE.  The notifiable
interests also comprise the notifiable interest of Mr Edward C Johnson 3rd, a
principal shareholder of FMR Corp. and Fidelity International Limited.

MITIE has been informed that the shares to which this notification relates are
