MITIE Group PLC - Directors' Interests in Shares

On 31 January 2002, the Trustee of The MITIE Group PLC (the 'Company')
Qualifying Employee Share Ownership Trust ('QUEST') acquired by subscription,
at a price of 148.5p per share, a total of 9,744 ordinary shares of 2.5p each
in the Company.  All of these shares have been used to satisfy options
exercised under the Company's Savings Related Share Option Scheme and will
shortly be transferred to the individuals who exercised their options.

As potential beneficiaries under the QUEST, each executive director of the
Company is treated as being interested in all shares acquired by the QUEST.

beneficiaries of the shares detailed in this notification are:
