Directors' Interests in Share

On 11 January 2002, the Trustee of The MITIE Group PLC (the 'Company')
Qualifying Employee Share Ownership Trust ('QUEST) acquired by subscription,
at a price of 150p per share, a total of 9,596 ordinary shares of 2.5p each in
the Company.  All of these shares have been used to satisfy options exercised
under the Company's Savings Related Share Option Scheme and will shortly be
transferred to the individuals who exercised their options.

As potential beneficiaries under the QUEST, each executive director of the
Company is treated as being interesting in all shares acquired by the QUEST.

The directors of the Company who may be considered to be potential
beneficiaries of the shares detailed in this notification are:
