MITIE Group PLC - Directors' Interests in Shares

On 24 March 2005, the trustees of The MITIE Group PLC (the 'Company') Employee
Trust (the 'Trust') acquired by subscription, at a price of 160p per share, a
total of 117,000 ordinary shares of 2.5p each in the Company. All of these
shares have been used to satisfy options exercised under the Company's 1991 or
2001 Executive Share Option Scheme and will shortly be transferred to the
individuals who exercised their options.

As potential beneficiaries under the Trust, each executive director of the
Company is treated as being interested in all shares acquired by the Trust.

of the shares detailed in this notification are:
