                            Directors' shareholdings

The Company has today received notification of the following transactions:

(1)  On 11 June 2004 Sir John Southwood Jennings, a non-executive director of
     the Company, sold 100,000 ordinary shares of 21/2p each in the Company, at 
     a price of £1.28 per share, representing 0.03% of the issued share capital 
     of the Company;

(2)  on 11 June 2004 Colin Stephen Hale, an executive director of the Company,
     sold 1,400,000 ordinary shares of 21/2p each in the Company, at a price of 
     £1.28 per share, representing 0.45% of the issued share capital of the 
     Company.

Following these disposals Sir John Jennings is interested in 1,170,567 ordinary
shares representing 0.38% of the issued share capital of the Company and Mr Hale
is interested in 641,134 ordinary shares representing 0.21% of the issued share
capital.
