MITIE GROUP PLC (the 'Company')

The Company has today received notification that on 19 March 2002 David
Malcolm Telling, Chairman of the Company, gifted to a charitable trust 415,000
of his ordinary shares of 2.5p each in the Company, representing 0.14% of the
issued share capital of the Company.

Following this disposal Mr Telling is interested in 10,585,000 ordinary shares
representing 3.67% of the issued share capital of the Company.
