Mitie Group Plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

The Company announces the following transaction in its Ordinary Shares of 2.5p each ("Shares"):

Further to the announcement made on 29 May 2015, on 18 June 2015 the following Directors sold the Shares received in the Company pursuant to awards made under the Mitie Group Deferred Bonus Plan in May 2013.

In accordance with DTR 3.1.2R, on 18 June 2015 the following Director exercised and sold unapproved share options received in the Company pursuant to the Company's 2001 Executive Share Option Scheme. The options were granted on 23 June 2005 and were due to expire on 23 June 2015.

Following the above transactions, the interests of the above named directors are as follows:
