                   Circular re Extraordinary General Meeting

MITIE announces that yesterday it posted to shareholders a circular relating to
an equity participation scheme in respect of shares in MITIE Cleaning Services
Limited including a notice of an Extraordinary General Meeting to be held on 1
November 2004.

A copy of the circular has been submitted to the UK Listing Authority and will
shortly be available for inspection at the UK Listing Authority's Documents
Viewing Facility, 25 The North Colonnade, Canary Wharf, London E14 5HS.
