                              DIRECTORS' INTERESTS

The Company's Employee Benefit Trust ('the Trust') holds a balance of 2,240,709
Mitchells & Butlers ordinary shares following:

- the exercise on 29 June 2004 of an option by an employee who is not a director
over 86,291 shares at a price of £2.1447 per share; and

- the acquisition by the Trust on 2 July 2004 of 290,000 shares at £2.75 per
share.

The executive directors of the Company, M.L.Bramley, T.Clarke, A.Hughes and
K.Naffah, as potential beneficiaries under the Trust are technically deemed to
be interested in the above balance.
