Mourant & Co. Trustees Limited, as Trustees of the Company's Employee Benefit
Trust, bought 100,000 Mitchells & Butlers Ordinary 7 1/12p shares on 21 May 2004
at 250p per ordinary share.


The balance now held by the Trust is 900,000 shares.


The Executive Directors of the Company, M.Bramley, T.Clarke, A.Hughes and
K.Naffah, as potential beneficiaries under the Trust, are deemed to be
interested in the above purchase.
