Agreement with Shareholders

Yoomedia PLC 28 February 2003 YooMedia PLC ('YooMedia' or the 'Company') assists shareholders in potential claims against third parties YooMedia, the interactive TV entertainment company, today set in place arrangements which resolve issues between the Company and the action group of the Company's shareholders, by paying over to the action group funds to assist in the prosecution of potential civil claims against the Company's former advisers. The potential claims relate to the Prospectus issued by the Company as e-district.net plc in connection with its initial public offering ('IPO') in March 2000. Pursuant to an agreement entered into on 30 January 2003, the Company has paid £750,000 to the action group, which will be used to fund the pursuit of the potential claims against former advisers relating to the IPO. The funds will be repaid to the Company out of any recoveries made by the action group. The action group has dropped all potential claims against the Company. The implementation of the settlement with the action group follows the earlier successful settlement of claims by the Company against its former chairman Steven Laitman by a distribution of Mr. Laitman's shareholding in the Company to shareholders. Since the financial irregularities were discovered in February 2001, YooMedia has staged a remarkable turnaround, repositioning itself as the leading interactive TV company in the UK partnering with a number of high profile companies including Sky, Turner Broadcasting and Dateline. On 5th February 2003, YooMedia announced that it had been selected by the government for inclusion on the interactive TV e-voting 'Framework' by the Office of the Deputy Prime Minister, to develop secure iTV voting for local and general elections, and is the only dedicated interactive TV company to be selected for the Framework. The last quarter has also seen YooMedia launch yoome2, the first ever subscription 24/7chat service on digital television and games channel which includes the game Tetris as part of its games line up. Since launch on 20th December 2002, over 20,000 Telewest subscribers have registered for games and chat on yoome2. On 20th January 2003, YooMedia appointed David Docherty to the position of Non-Executive Board Director. David was previously Deputy Director of Television and Director of New Media at the BBC before becoming Managing Director of Broadband at Telewest Communications. He is also a regular columnist for Media Guardian. A variety of other revenue-generative product launches are planned during the next few months, including the Dateline dating service on satellite and cable and Cartoon Network pay-per-play games on cable.
