                              Total Voting Rights

In conformity with the Transparency Directive, Upstream today announces the
following:

As at the date of this announcement, Upstream's issued share capital consists of
136,544,795 ordinary shares with a nominal value of 0.25p each ('Ordinary
Share'), with voting rights. The Company does not hold any Ordinary Shares in
Treasury.

The above figure of 136,544,795 Ordinary Shares may be used by shareholders in
the Company as the denominator for the calculation by which they will determine
if they are required to notify their interest in, or a change to their interest
in, the share capital of Upstream under the FSA's Disclosure and Transparency
Rules.
