Huveaux PLC 25 May 2005 25 May 2005 HUVEAUX PLC Extraordinary General Meeting to amend Articles Huveaux has today posted a circular to shareholders convening an Extraordinary General Meeting on 17 June 2005 to approve amendments to the Articles of Association. The purpose of the Special Resolution is to amend the Articles as follows: •Borrowings powers - to make them more appropriate for a fast-growing media and publishing group, the amendment would allow intangible assets (such as publishing rights) to be included in the capital base for the purposes of calculating the borrowings limits in the Articles; and •Non-executive directors' fees - to increase the limit in the Articles to a level more appropriate for a group of Huveaux's size and complexity.
