                   Montpellier Group plc - Offer Update

Montpellier announces that at an Extraordinary General Meeting of the Company
held this morning a resolution approving the acquisition of VHE Holdings plc,
pursuant to the cash offer made by Montpellier for VHE, was duly passed.

The first closing date of the Offer, which has already been declared
unconditional as to acceptances, is 17 September 2001.
