VOTING RIGHTS AND CAPITAL STRUCTURE

In accordance with Disclosure and Transparency Rules 5.6.1 and 5.6.1A, we would like to notify the market of the following:

Following the Share Capital Consolidation described in the circular to shareholders dated 21 January 2014 and approved at the general meeting on 7 February 2014, the share capital of Melrose Industries PLC now consists of 1,071,761,339 'Ordinary Shares' of 13/110 pence each with voting rights.

Melrose Industries PLC holds no 'Ordinary Shares' in Treasury.

Therefore, the total number of voting rights in Melrose Industries PLC as at 10 February 2014 is 1,071,761,339.

The above figure (1,071,761,339) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Melrose Industries PLC under the FCA's Disclosure and Transparency Rules.
