UPDATE OF PROSPECTUS TO INCORPORATE THE IMS DATED 16 NOVEMBER 2012

On 12 October 2012, Melrose PLC ("Melrose") announced proposals to introduce, by means of a scheme of arrangement under Part 26 of the Companies Act 2006, a new listed holding company for the Melrose group of companies (the "Scheme"). The Scheme was approved by the requisite majority at the Court Meeting held on 5 November 2012 and all resolutions regarding the proposed corporate reorganisation of which the Scheme forms part were passed at the Melrose General Meeting held on the same day. New Melrose published a prospectus in relation to the Scheme on 12 October 2012 (the "Prospectus").

Melrose and New Melrose PLC ("New Melrose") announce that New Melrose has today published a supplementary prospectus (the "Supplementary Prospectus") incorporating the interim management statement made by Melrose on 16 November 2012 (the "IMS").  The Supplementary Prospectus does not contain any other new information.

The Supplementary Prospectus will be made available on Melrose's website, www.melroseplc.net, and will be submitted to the National Storage Mechanism, where it will be available for inspection at www.morningstar.co.uk/uk/nsm. Copies of the Supplementary Prospectus will also be available for inspection during normal business hours on any Business Day, free of charge, at the registered office of the Company at Precision House, Arden Road, Alcester, B49 6HN and at the offices of Simpson Thacher & Bartlett LLP, CityPoint, One Ropemaker St, London, EC2Y 9HU, from the date of the Supplementary Prospectus up to and including the date of admission.

Completion of the proposed reorganisation remains subject to the conditions set out in the Circular, including the sanction of the Scheme by the Court, the hearing in respect of which is expected to take place on 26 November 2012. The expected timetable of remaining key events remains unchanged.

Terms used in this announcement shall have the same meanings as set out in the Circular, Prospectus and Supplementary Prospectus.
