Acquisition of GKN plc: Results of Melrose General Meeting and European Commission Clearance

Melrose announces the following updates in relation to the Acquisition of GKN:

(1) Results of Melrose General Meeting

Both resolutions were passed at the Melrose General Meeting held today in connection with the Acquisition.

Copies of the resolutions have been submitted to the National Storage Mechanism and can be obtained at www.morningstar.co.uk/uk/NSM.

Details of the poll votes received will shortly be available on the Melrose website.

(2) European Commission Clearance

The European Commission announced today that it has found the transaction compatible with the common market under Article 6(1)(b) of the EU Merger Regulation, thereby providing clearance in respect of European anti-trust.
