Mr Christopher Miller has a beneficial interest in 4,970,000 Melrose PLC
ordinary shares which represents 1.93 per cent. of the issued share capital, of
which 20,000 are held for the benefit of his son.  The beneficial interest
reduced to 4,950,000 Melrose PLC ordinary shares on 21 December 2006, when the
registered title transferred to his son, who has reached the age of 18 years and
in accordance with s328 of the Companies Act is no longer a connected person.
