                             LISTING OF NEW SHARES


Melrose PLC (the "Company") is pleased to announce that, following the issue of
267,330,058 C shares to shareholders on the register at 6.00 pm today, 15 August
2007, to implement the return of capital to shareholders, the consolidation of
the Company's existing ordinary shares is expected to take place tomorrow
morning, 16 August 2007. The existing ordinary shares will be consolidated into
new ordinary shares of 0.2 pence each in nominal value ("New Ordinary Shares")
on the basis of one New Ordinary Share for every two existing ordinary shares.

It is expected that the New Ordinary Shares will be admitted to the Official
List maintained by the Financial Services Authority and will commence trading at
8.00 am tomorrow, 16 August 2007. Full details of the return of capital and
associated share capital consolidation are contained in the circular to
shareholders dated 20 July 2007.

On admission, a total of 133,665,029 New Ordinary Shares of 0.2 pence each will
be in issue.
