                             MEIKLES AFRICA LIMITED

                              CAUTIONARY STATEMENT

Shareholders are advised that negotiations are at a preliminary stage for a
scheme of arrangement of the shareholding of Meikles Africa Limited, Kingdom
Financial Holdings Limited, Tanganda Tea Company Limited and Cotton Printers
(Private) Limited that will result in the entities being consolidated into one
corporate body listed on the Zimbabwe Stock Exchange while still retaining the
Meikles Africa Limited listing on the London Stock Exchange.

It is envisaged that the proposed group will provide an enhanced critical mass
to create further opportunities in Zimbabwe and the region.

Accordingly, shareholders are advised to exercise caution when dealing with
their shares.

Shareholders will be kept informed on the progress of negotiations.
