Director Shareholding

In settlement of fees for services rendered, Gerald Buckland and Robert
Montgomery have each subscribed for the following new ordinary shares in the
Company at 1 pence per share (being the higher of the average closing mid-market
price for the 5 trading days preceding the date of subscription and their
nominal value):

Gerald Buckland - 913,242

Robert Montgomery - 456,621


Application has been made for the 1,369,863 new shares, nominal value 1 pence
per share, to be admitted to trading on the Alternative Investment Market. It is
expected that dealings in these shares, which will rank pari passu in all
respects with the existing ordinary shares, will commence on 9 July 2002.
