                             Change in Shareholding

The Company was informed on 19 February 2004 that on 17 February 2004, City
Equities Limited purchased 54,000,000 ordinary shares in Cater Barnard,
representing approximately 5.75% of the issued share capital. Having sold,
acting as principal, 44,865,000 of these shares to certain of their private
customers, as at the close of business on 18 February 2004, City Equities has
ceased to have a notifiable interest in the shares of Cater Barnard.
