                 Disposal of Shares in Cater Barnard (USA) plc

The Board of Cater Barnard today announces the sale of 3,105,280 ordinary shares
of 5p each (the 'Shares'), in Cater Barnard (USA) plc for a consideration of
£67,855.

This sale represents the total holding of Cater Barnard and thus the Company no
longer has any interest in the issued share capital of Cater Barnard (USA) plc.
