                            Director's Shareholding


The Company was informed on 29 August 2002 that Hemery Trustees Limited
purchased at that date 1,000,000 ordinary shares in the Company at 0.73p,
500,000 ordinary shares in the Company at 0.75p and 500,000 ordinary shares in
the Company at 0.82p. The shares held by Hemery Trustees Limited are held in its
capacity of the Taurus Trust, a discretionary trust of which Mr Stephen Dean,
Chairman, is the principal beneficiary. Hemery Trustees Limited now holds
510,521,415 ordinary shares in the Company representing 65.01 per cent of its
issued share capital.
