The Board of Cater Barnard plc today announces the following Director's share
dealings:

S Dean Purchases 2,500,000 @ 4p

A Stecyk Purchases 625,000 @ 4p


In addition, Cater Barnard has today issued 6,000,000 share options to each of
the above Directors.  The options are exercisable at 71/2p between six months
and seven years.
