Mears Group PLC ('Mears' or the 'Company') Compulsory Acquisition of Shares in Careforce Group plc ('Careforce') On 5 March 2007, the boards of Mears and Careforce announced that they had reached agreement on the terms of a recommended offer to be made by Mears for the entire issued and to be issued share capital of Careforce ('Offer'). The Offer was declared wholly unconditional on 4 April 2007 and Mears now owns, or has received valid acceptances in respect of, more than 90 per cent. of the Careforce Shares to which the Offer relates. Accordingly, Mears has implemented the procedure set out in sections 420 to 430F (inclusive) of the Companies Act 1985 to acquire compulsorily all of the outstanding Careforce Shares which it has not already acquired, contracted to acquire or in respect of which it has not already received valid acceptances.
