Mears Group PLC - Holding in Company

Mears Group PLC received notification on 14 January 2002 that the 8,610,000
ordinary shares of 1p each held in the Company by Unicorn Asset Management now
represents 15.50 per cent. of the total issued share capital of the Company.
This reduction in percentage shareholding from 16.02 per cent. to 15.50 per
cent. arises from the increase in the total issued share capital of the
Company following the exercise of options on 8 January 2002.
