Mears Group PLC - Additional Listing

Mears Group PLC has issued 125,000 new ordinary shares of 1p each pursuant to
an exercise of options at an exercise price of 13.25p per share.

Application has been made to admit these shares to trading on the Alternative
Investment Market. It is expected that admission of these new 125,000 ordinary
shares, which will rank pari passu in all respects with the existing ordinary
shares, will become effective on 3 July 2001.
