                              Total Voting Rights

In conformity with the Financial Services Authority's Disclosure and
Transparency Rules, the Directors of Aberdeen Growth Opportunities VCT 2 PLC
announce that the Company's issued share capital consists of 7,835,163 Ordinary
shares of 10p and 4,972,459 S Ordinary Shares of 10p, each share carrying the
right to one vote. The Company does not hold any shares in treasury.



The total number of voting rights is therefore 12,807,622 and this figure may be
used by shareholders as the denominator for calculations by which they determine
whether they are required by the FSA's Disclosure and Transparency Rules to
notify their interest in, or a change to their interest in, the Company's
shares.
