                  Offer for subscription of S Ordinary Shares


The Directors of Aberdeen Growth Opportunities VCT 2 PLC announce that pursuant
to the Offer for Subscription which opened on 6 October 2006, the Company has
today issued and allotted 98,780 S Ordinary shares of 10 pence, bringing the
number of S Ordinary shares issued to 4,972,459. The price at which the S
Ordinary Shares were issued and allotted was £1.00 per share.


The Offer for Subscription closed at 12 noon on Tuesday 31 July 2007. The issued
share capital of the Company now comprises 7,835,163 Ordinary Shares of 10p and
4,972,459 S Ordinary Shares of 10p.
